These Terms and Conditions (“Terms”) govern your use of pnntechnologies.com (the “Website”) and the services provided by PNN Technologies (“PNN Technologies”, “we”, “us” or “our”), including SEO, GEO, paid advertising, social media marketing, influencer marketing, email marketing and website design and development (the “Services”). By using the Website or engaging our Services, you agree to these Terms.

1. Use of the Website

You may use the Website for lawful purposes only. You must not attempt to disrupt, damage or gain unauthorised access to the Website or its systems.

2. Services and Proposals

The scope, deliverables, timelines and fees for each project are set out in a written proposal, quotation or agreement (“Proposal”). If there is a conflict between these Terms and a signed Proposal, the Proposal will apply.

3. Fees and Payment

• Fees are as stated in the Proposal and are exclusive of applicable taxes such as GST unless stated otherwise.
• Monthly retainers are billed in advance unless agreed otherwise.
• Advertising budgets for platforms such as Google Ads or Meta Ads are separate from our management fees and are paid directly by the client to the platform unless agreed otherwise.
• Late payments may lead to a pause in Services until the account is up to date.

4. Client Responsibilities

You agree to provide accurate information, timely approvals and the access needed to deliver the Services (for example website, analytics, Google Business Profile or ad account access). Delays in providing these may affect timelines and results.

5. No Guaranteed Rankings or Results

Search engines, AI platforms and advertising platforms control their own algorithms and policies, which change frequently. While we use proven, ethical methods and work to improve your results, we cannot guarantee specific rankings, traffic, leads, sales or return on ad spend.

6. Intellectual Property

Once all fees are paid, you own the final deliverables created specifically for you, such as website designs, content and ad creatives, unless otherwise stated in the Proposal. We may keep general know-how, tools, templates and processes. Third-party items such as themes, plugins, stock images or fonts remain subject to their own licences.

7. Account Ownership

Advertising accounts, analytics properties and Google Business Profiles created for you remain your property. We access them with your permission to manage the Services.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement and to use it only for the purpose of the Services.

9. Cancellation

Either party may end a monthly engagement with the notice period stated in the Proposal, or 30 days’ written notice if none is stated. Fees for work already completed or for the current billing period are not refundable unless agreed in writing.

10. Limitation of Liability

To the extent permitted by law, PNN Technologies is not liable for indirect or consequential losses, including loss of profits, data or business opportunities. Our total liability for any claim is limited to the fees paid by you for the Services in the three months before the claim.

11. Third-Party Services

We are not responsible for outages, policy changes, suspensions or other actions taken by third-party platforms such as Google, Meta, hosting providers or plugin developers.

12. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on this page.

13. Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of the courts of Delhi NCR, India.
